Vendor Terms & Conditions

These Vendor Terms (“Terms”) govern the relationship between SHOP KIJIJI, a curated marketplace operated by KIJIJI Atlanta / Cecil Capital Inc. (“KIJIJI,” “we,” “us”), and approved vendors (“Vendor,” “you”) whose products are accepted for inclusion on the SHOPKIJIJI.com platform.

By participating as a Vendor, you agree to the following Terms:

1. Relationship

Vendor operates as an independent business. Nothing in this Agreement creates employment, partnership, or joint venture status.

2. Nature of the Platform

SHOP KIJIJI is a curated marketplace, not an open listing platform.

Acceptance as a Vendor is discretionary and based on alignment with our values, quality standards, cultural integrity principles, and operational readiness.

Approval to partner does not guarantee:

  • Permanent inclusion
  • Minimum sales volume
  • Exclusivity (unless expressly agreed in writing)

3. Vendor Eligibility & Representations

By participating on SHOP KIJIJI platform, you represent and warrant that:

  • You are the rightful owner, producer, or authorized distributor of all products submitted
  • All product descriptions, imagery, and claims are truthful and accurate
  • Your products comply with all applicable laws and regulations
  • Your business operates ethically and responsibly
  • You have the legal right to sell and fulfill the products offered

Any material misrepresentation may result in immediate termination.

4. Fees

Vendor agrees to:

  • $25 setup fee (one-time)
  • $25 monthly storefront fee while store is active
  • 7% commission on product price for each sale
  • Payment processing and FX fees (pass-through)

All fees are non-refundable.

5. Cultural Integrity & Alignment

KIJIJI places particular importance on cultural dignity, accuracy, and integrity.

Vendors agree that:

  • Cultural references must be authentic, informed, and respectful
  • Products must not exploit, misrepresent, or extract from African or African-diasporic cultures
  • KIJIJI reserves the right to decline or remove products that conflict with these principles

This standard applies regardless of a Vendor’s identity or origin.

6. Product Standards & Quality

Vendors agree to maintain:

  • Consistent craftsmanship and material quality
  • Products that match approved samples, descriptions, and images
  • Transparent disclosure of materials, sourcing, and production methods

KIJIJI may periodically request updated product information or documentation to ensure continued alignment.

7. Pricing & Commercial Terms

7.1) Pricing

  • Vendors must price products fairly and sustainably
  • Pricing must allow for ethical labor, quality materials, and long-term viability
  • KIJIJI reserves the right to decline products with pricing that undermines these principles

7.2) Commercial Model

The specific commercial arrangement will be agreed in writing and may include:

  • Wholesale
  • Consignment
  • Dropship / Direct Fulfillment

No commercial model is implied unless explicitly confirmed.

8. Fulfillment & Shipping

8.1) Shipping

Vendors must:

  • Ship within 3 business days unless stated
  • Provide tracking when available
  • Package items safely
  • Clearly state shipping timelines and costs

Orders unshipped after 7 days without communication may be canceled.

8.2) Returns

Vendor handles returns directly. KIJIJI may mediate disputes.

8.3) Refund Processing

Refunds reverse commission, except non-recoverable payment processing fees.

Vendors are responsible for:

  • Accurate processing times
  • Secure and appropriate packaging
  • Timely fulfillment of orders
  • Shipping to the regions agreed upon

Failure to meet fulfillment standards may result in:

  • Temporary suspension
  • Removal of products
  • Termination of partnership

9. Returns, Exchanges & Customer Care

Vendors must:

  • Clearly communicate return and exchange policies
  • Handle customer issues promptly and respectfully
  • Cooperate with SHOP KIJIJI in resolving disputes

KIJIJI may intervene to protect the customer experience and brand integrity.

10. Media, Branding & Use of Content

By partnering with SHOP KIJIJI, you grant KIJIJI a non-exclusive, royalty-free license to use:

  • Product images
  • Brand name and logo
  • Descriptions and storytelling content

Solely for purposes of:

  • Marketing
  • Merchandising
  • Platform display
  • Editorial features

You retain ownership of all intellectual property.

11. Exclusivity & Limited Runs (If Applicable)

Any exclusivity, limited editions, or special collaborations must be:

  • Mutually agreed
  • Documented in writing
  • Time-bound and clearly defined

No exclusivity is assumed unless stated.

12. Review, Suspension & Termination

12.1) Ongoing Review

KIJIJI reserves the right to periodically review:

  • Product quality
  • Fulfillment performance
  • Alignment with platform values

12.2) Suspension or Termination

KIJIJI may suspend or terminate a Vendor relationship if:

  • Standards are not maintained
  • Cultural integrity is compromised
  • Fulfillment or communication becomes unreliable
  • The partnership no longer aligns with platform direction

Termination may occur with or without notice depending on severity.

13. Independent Relationship

Vendors operate as independent businesses.

Nothing in these Terms creates:

  • An employment relationship
  • A joint venture
  • A partnership or agency relationship

Each party remains responsible for its own operations, taxes, and obligations.

14. Off-Platform & Commission Evasion Policy

All transactions initiated through SHOP KIJIJI must be completed through the platform.

Vendors may not:

  • Direct customers to pay off-platform
  • Share external payment links
  • Move transactions to WhatsApp, email, Instagram, etc.
  • Adjust pricing offline to reduce platform commission
  • Use “deposit only” listings to complete sales offsite

– Commission Protection Clause

If KIJIJI determines a sale occurred off-platform after platform contact, KIJIJI may invoice:

  • Estimated lost commission
  • $100 administrative penalty per incident
Audit Rights

KIJIJI may request transaction verification if evasion is suspected.

Consequences

1st offense → Warning

2nd offense → 30-day suspension

3rd offense → Permanent removal + forfeiture of pending payouts

15. Limitation of Liability

To the fullest extent permitted by law:

  • KIJIJI is not liable for indirect, incidental, or consequential damages
  • Vendors indemnify KIJIJI against claims arising from products, fulfillment, or misrepresentation

16. Modifications to Terms

KIJIJI may update these Terms from time to time.

Vendors will be notified of material changes. Continued participation constitutes acceptance of updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
